These terms govern use of the Closepath service at app.closepath.cc (“the Service”). By creating an account or using the Service you agree to them. The Service is currently offered as a pilot program for invited real estate professionals.

The Service

Closepath provides transaction coordination software: contract deadline computation, communication drafting and delivery, contract draft preparation, and document management for residential real estate transactions. Access is provided to invited organizations and their authorized users.

Not legal advice; not a brokerage. Closepath is software. It does not provide legal, brokerage, or licensing services, and its outputs — including computed deadlines, drafted communications, and prepared contract forms — are tools for use by licensed real estate professionals, who remain responsible for reviewing and approving all client-facing material. Contract forms are prepared on official promulgated forms; Closepath does not author contract language.

Your responsibilities

Use the Service only in connection with real estate transactions you are professionally engaged in, and in compliance with applicable law and TREC rules.
Review every Service output before relying on it or sending it to a client or counterparty. Nothing sends without your explicit approval; that approval is yours.
Keep your account credentials secure and your account information accurate.
Do not attempt to access other organizations’ data, probe or disrupt the Service, or use it to send unlawful communications.

Your data

You retain all rights to the contracts, documents, and information you submit. We process them only to provide the Service, as described in our Privacy Policy. You are responsible for having the right to upload the materials you submit.

Pilot status, availability, and changes

The Service is in active development. We aim for high availability but do not guarantee uninterrupted service during the pilot, and features may change. We will give reasonable notice of material changes that affect your workflow.

Disclaimers and liability

The Service is provided “as is” during the pilot. To the maximum extent permitted by law, Closepath disclaims implied warranties and is not liable for indirect, incidental, or consequential damages, including damages arising from missed deadlines or transaction outcomes; aggregate liability is limited to amounts paid for the Service in the twelve months preceding the claim. Licensed professionals remain responsible for their transactions.

Termination

You may stop using the Service at any time and may request export or deletion of your data per the Privacy Policy. We may suspend accounts that violate these terms, with notice where practicable.

Changes to these terms

If these terms change, we will update this page, revise the date above, and notify account holders by email of material changes.
